These Terms & Conditions (these “Terms”) apply to all persons who purchased tickets for and/or who attend and/or who are speakers at Sea: The Future, a conference presented by Windward (the “Conference”).
Tickets: Ticket sales for the Conference will be made via Eventbrite Ticketing Website – https://www.eventbrite.com/ (“Eventbrite”). Eventbrite’s terms and conditions will govern all ticket sales and all related disputes. Windward shall not be responsible and/or a party to any dispute relating to ticket sales for the Conference.
Non-Transferability: You may not assign, re-sell or transfer your rights and obligations to any third part, under these Terms or under any ticket you purchased for the Conference, without Windward’s prior written consent.
Speakers: Views expressed by speakers at the Conference are their own. Windward will not hold any liability for advice given, or views expressed, by any speaker at the Conference. Windward may reproduce and use copies of any speaker’s presentation (such as PowerPoint slides, written scripts or other materials), for any purpose, during and after the Conference.
Marketing and Networking: By purchasing a ticket and/or attending the Conference, you agree to allow Windward and affiliates associated with Windward to contact you regarding its products and services. If you do not wish to receive such communications, please contact Windward. Your contact details may be placed on an attendees list which may be passed to sponsoring partners and to all other attendees, for them to see who is at the Conference for the purpose of networking and meetings.
Websites, Sources & Links: All third-party links, sources and materials presented at the Conference or on any Windward related websites (together “Sources”), are provided for convenience. The contents of these Sources are maintained by their owners, for which Windward takes no responsibility.
Credentials: Windward-issued credentials are the sole property of the Windward and must be surrendered upon demand to Windward representatives. Windward-issued credentials must be prominently displayed while at the Conference. False certification of an individual as an attendee, misuse of an attendee badge or any other method or device used to assist unauthorized personnel to gain admittance to the Conference will be just cause for expelling the attendee from the Conference, without obligation on the part of Windward for a refund of any fees. All attendees at the Conference waive any rights or claims for damages arising out of the enforcement of this provision.
Admittance: In its sole discretion and without refund, Windward reserves the right to refuse admittance to or expel from the Conference anyone that it determines is behaving in a manner that could be disruptive to the Conference or any other attendee at the Conference.
Updated Terms: From time to time, Windward may change these Terms, without actual notice to you. All such changes to these Terms will appear on Windward’s website – seathefutureconference.com (the “Website”) and will become effective immediately upon their initial posting. By purchasing a ticket to or attending the Conference or using the Website, you agree to be bound by any such changes to these Terms.
Intellectual Property: The intellectual property rights associated with the Conference and the Website, including copyrights, trademarks, trade names, patents, trade secrets, work methods and processes, and any other right, are the sole property of Windward or its affiliates. It is forbidden to copy, duplicate, distribute, sell, make available, market and translate any information, including trademarks, images, pictures, texts and computer code from the Conference and Website, without Windward’s explicit prior and written consent.
Insurance and Liability: It is your responsibility to arrange appropriate insurance coverage in connection with your attendance at the Conference. Windward will not be held liable for any loss, liability or damage. Windward shall not be liable to you, to the maximum extent permitted by applicable law, for any direct, indirect, special, punitive, exemplary, statutory, incidental or consequential damage, or any similar damage or loss, costs, expenses and payments, either in tort, contract, or in any other form or theory of liability, arising from, or in connection with the Conference and/or the Website.
Indemnification: You agree to indemnify and hold Windward, its staff and anyone acting on their behalf, harmless in respect of any claim, demand, damage, loss, payment or expense they incur (including attorney’s fees and legal expenses) in connection with your breach of these Terms and/or any act or omission of yours relating to the Conference.
Publicity: Please note that the Conference will be captured on film and/or photos and/or audio. Films and/or photos and/or audio may be used freely by Windward for marketing and all other legitimate business purposes. Windward has the exclusive right to include photographic, video and other visual portrayals of any Conference attendees, in any medium of any nature whatsoever for the purpose of trade, advertising, sales, publicity and otherwise, without compensation to any Conference attendee and all rights titled and interest bearing (including all worldwide copyrights therein) will be Windward’s sole property, free of any claims of any Conference attendee. By purchasing a ticket to and/or attending and/or speaking at the Conference, you fully agree with the terms of this provision.
Disclaimer: Windward may at any time, with or without giving notice, in its absolute discretion and without giving any reason, change, cancel or postpone the Conference, change its venue or any of the other published particulars, or withdraw any invitation to attend. In any case, neither Windward nor any of its officers, employees, agents, members or representatives shall be liable for any loss, liability, damage or expense suffered or incurred by any person, nor will they be obligated to return any money paid to them in connection with the Conference.
Force Majeure: Windward shall not be held responsible for any delay or failure in performance of its obligations hereunder to the extent such delay or failure is caused by fire, flood, strike, civil, governmental, military authority, acts of God, acts of terrorism, acts of war, epidemics, the availability of the venue or other similar causes beyond its reasonable control.
For one or more of such reasons, Windward may postpone, reschedule or cancel the Conference without liability on the part of Windward. In the event the Conference cannot be held or is postponed pursuant to this section, Windward shall not be liable to attendees for any damages, costs, or losses incurred, such as transportation costs, accommodations costs, or financial losses.
Refunds: In any event of cancellation on your part, for any reason whatsoever, no refund will be paid on any tickets. In the event of Conference cancellation by Windward, for reasons other than Force Majeure, you may be entitled to a refund, at Windward’s sole discretion.
Applicable Law: These Terms shall be governed solely by the laws of the State of Israel without regard to its conflict of law provisions. The competent courts of the Tel-Aviv district in Israel, shall have sole and exclusive jurisdiction over any claim in connection with these Terms, the Website or the Conference. Notwithstanding the foregoing, Windward may lodge a claim against you pursuant to the indemnification clause above, in any court adjudicating a third party claim against it.
